BASE Waterproofing operates a lead generation platform that connects homeowners seeking basement waterproofing and foundation repair services with qualified local contractors and service providers. We are not a waterproofing company and do not perform any inspection, repair, or waterproofing services ourselves.

3. Lead Generation and Data Sharing

By submitting your information through our website, you understand and agree that:

  • Your contact information and service request details will be shared with and sold to local waterproofing contractors, basement repair specialists, and related home service providers
  • Multiple service providers may receive your information and contact you
  • We do not guarantee the quality, pricing, or availability of any service provider
  • Any agreement for services is solely between you and the service provider

4. Communications Consent

By submitting your information and checking the consent box, you expressly consent to receive:

  • Phone calls (including automated and pre-recorded calls)
  • SMS/text messages
  • Emails
  • AI-assisted outreach communications

These communications may come from BASE Waterproofing and/or the service providers with whom we share your information. Standard message and data rates may apply. Consent is not a condition of purchase.

5. No Guarantee of Services

We do not guarantee that you will receive a response from any service provider, that any provider will be available in your area, or that any inspection will be scheduled. The "free inspection" offer is subject to the terms and availability of participating service providers in your area.

6. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties regarding the service providers, including their qualifications, licensing, insurance, workmanship, or the results of any services they may provide.

7. Limitation of Liability

BASE Waterproofing shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of our services, any services performed by third-party providers, or any disputes between you and service providers. Our total liability shall not exceed the amount paid by you to BASE Waterproofing, if any.

8. Indemnification

You agree to indemnify and hold harmless BASE Waterproofing, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or your interactions with service providers.

9. User Responsibilities

You agree to:

  • Provide accurate and truthful information
  • Be at least 18 years of age or have parental consent
  • Have authority to request services for the property address provided
  • Not use our services for any unlawful purpose

10. Intellectual Property

All content on this website, including text, graphics, logos, and software, is the property of BASE Waterproofing or its content suppliers and is protected by intellectual property laws.

11. CLASS ACTION WAIVER

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

You and BASE Waterproofing agree that any claims or disputes arising out of or relating to these Terms of Service, our services, or your interactions with service providers shall be resolved on an individual basis only, and not as part of any purported class, consolidated, or representative proceeding. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against BASE Waterproofing.

If for any reason a claim proceeds in court rather than in arbitration, you and BASE Waterproofing each waive any right to a jury trial. You acknowledge that you are waiving substantial rights by agreeing to this class action waiver, including the right to participate in class actions and the right to a jury trial.

12. Arbitration Agreement

Any controversy or claim arising out of or relating to these Terms of Service, our services, or your use of our website shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted in Maricopa County, Arizona. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs and attorney's fees unless the arbitrator determines otherwise.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Maricopa County, Arizona, to protect its intellectual property rights or confidential information.

13. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

For any disputes not subject to arbitration, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Maricopa County, Arizona. You waive any objection to the laying of venue in such courts and any claim that such courts are an inconvenient forum.

14. Severability

If any provision of these Terms of Service is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. If modification is not possible, the provision shall be severed from these Terms.

The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect. The parties agree to negotiate in good faith to replace any invalid provision with a valid provision that most closely approximates the intent and economic effect of the invalid provision.

15. Waiver

No waiver of any term or condition of these Terms of Service shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure of BASE Waterproofing to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and BASE Waterproofing regarding your use of our services and supersede all prior agreements, representations, and understandings, whether written or oral.

17. Assignment

You may not assign or transfer these Terms of Service or any rights or obligations hereunder without the prior written consent of BASE Waterproofing. BASE Waterproofing may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

18. Modifications

We reserve the right to modify these Terms of Service at any time in our sole discretion. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes your acceptance of the modified terms. It is your responsibility to review these Terms periodically.
